Entr\u00e9es en vigueur le 27 mai 2025, ces lignes directrices offrent aux \u00e9metteurs un cadre conforme aux normes internationales. Cette initiative s\u2019inscrit dans le Plan strat\u00e9gique 2024\u20132026 de la CMA et refl\u00e8te l\u2019engagement continu du Royaume \u00e0 promouvoir la formation de capitaux align\u00e9s sur les crit\u00e8res environnementaux, sociaux et de gouvernance (ESG), \u00e0 renforcer la transparence et \u00e0 \u00e9largir les canaux de financement dans les secteurs public et priv\u00e9.<\/p>\n\n\n\n

Abdullah Al-Moqbel, Directeur du D\u00e9partement du D\u00e9veloppement Durable \u00e0 l\u2019Autorit\u00e9 du March\u00e9 des Capitaux (CMA), a d\u00e9clar\u00e9<\/strong> : \u00ab Ce cadre favorise la croissance du march\u00e9 de la finance durable en Arabie saoudite. Il permet aux \u00e9metteurs de r\u00e9pondre aux attentes des investisseurs internationaux, de renforcer la confiance de ces derniers et de consolider la position du Royaume en tant que centre r\u00e9gional de la finance durable, en coh\u00e9rence avec ses objectifs de d\u00e9veloppement \u00e0 long terme \u00bb.<\/p>\n\n\n\n

Les lignes directrices d\u00e9finissent quatre cat\u00e9gories d\u2019instruments de dette \u00e9ligibles : verts, sociaux, durables et li\u00e9s \u00e0 la durabilit\u00e9. Les \u00e9metteurs sont tenus de divulguer toute zone de non-conformit\u00e9 avec ces lignes directrices dans leur cadre de r\u00e9f\u00e9rence ou leurs documents d\u2019\u00e9mission. Ce mod\u00e8le permet \u00e0 un large \u00e9ventail d\u2019acteurs \u2014 des entreprises aux institutions financi\u00e8res, en passant par les banques et les soci\u00e9t\u00e9s d\u2019investissement \u2014 d\u2019acc\u00e9der au march\u00e9 de la finance durable.<\/p>\n\n\n\n

En outre, les lignes directrices imposent la mise en place de revues externes ind\u00e9pendantes, de rapports p\u00e9riodiques, ainsi que de mesures de performance align\u00e9es sur les principaux indicateurs ESG, afin de garantir l\u2019int\u00e9grit\u00e9, la transparence et la comparabilit\u00e9 des informations divulgu\u00e9es.<\/p>\n\n\n\n

Pour sa part, Bader Alissa, Directeur du D\u00e9partement des Sukuk et des instruments de dette au sein de la CMA, a soulign\u00e9<\/strong> : \u00ab Ces lignes directrices ont \u00e9t\u00e9 publi\u00e9es afin de clarifier les principes fondamentaux et les cadres de r\u00e9f\u00e9rence relatifs aux instruments de dette verts, sociaux, durables et li\u00e9s \u00e0 la durabilit\u00e9. Elles offrent aux \u00e9metteurs les moyens d\u2019allouer efficacement les fonds destin\u00e9s \u00e0 soutenir leurs initiatives de durabilit\u00e9 et de transformation \u00e9conomique. Ces lignes directrices visent \u00e9galement \u00e0 stimuler les \u00e9missions locales de dette, \u00e0 renforcer la transparence et la qualit\u00e9 de la divulgation des informations, et \u00e0 instaurer une confiance accrue des investisseurs \u00bb.<\/p>\n\n\n\n

Les actifs mondiaux d\u2019investissement durable ont atteint 3,52 trillions de dollars US en 2024, presque le double par rapport \u00e0 2020, tandis que les \u00e9missions de dettes vertes ont d\u00e9pass\u00e9 580 milliards de dollars US en 2023. En Arabie saoudite, 94 entreprises cot\u00e9es ont publi\u00e9 des rapports de durabilit\u00e9 en 2024 (contre 81 en 2023), et les 65 % des soci\u00e9t\u00e9s du TASI les plus importantes par chiffre d\u2019affaires communiquent d\u00e9sormais r\u00e9guli\u00e8rement des indicateurs ESG, refl\u00e9tant une adoption progressive mais significative des meilleures pratiques internationales.<\/p>\n\n\n\n

Les lignes directrices de la CMA ont pour objectif de diversifier et d\u2019\u00e9largir les sources de financement pour des projets \u00e0 fort impact environnemental et social, couvrant des secteurs tels que les \u00e9nergies renouvelables, la gestion durable de l\u2019eau, le logement abordable et les infrastructures inclusives. Elles viennent soutenir les ambitions du Royaume dans le cadre de la Saudi Green Initiative (SGI), ses engagements \u00ab net z\u00e9ro \u00bb et ses objectifs climatiques, en cr\u00e9ant un \u00e9cosyst\u00e8me financier robuste et transparent, propice \u00e0 la croissance durable et \u00e0 l\u2019innovation sociale.<\/p>\n\n\n\n
